Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the TutorTracer platform and services (“Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

• “Organisation” means the tutoring company, educational institution, or other entity that has subscribed to the Service.
• “User” means any individual authorised by an Organisation to access the Service.
• “Lesson Data” means recordings, transcripts, metadata, and any other content relating to tutoring sessions processed through the Service.
• “AI Outputs” means any assessments, flags, ratings, summaries, or other outputs generated by our AI systems.

2. Account and Access

To use the Service, your Organisation must create an account and designate authorised Users. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Ensuring that all Users comply with these Terms.
• Obtaining all necessary consents for the processing of Lesson Data, including from tutors, students, and parents/guardians where applicable.

3. Permitted Use

The Service is provided for the purpose of monitoring and improving the quality and safety of online tutoring sessions. You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service for any purpose other than legitimate tutoring quality assurance and safeguarding.
• Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms.
• Share your account credentials with unauthorised third parties.
• Upload content that is unlawful, harmful, or violates the rights of others.
• Use AI Outputs as the sole basis for employment or disciplinary decisions without human review.

4. AI-Generated Outputs

The Service uses artificial intelligence to analyse lesson content and generate assessments. You acknowledge that:

• AI Outputs are provided as decision-support tools and are not infallible.
• AI Outputs should be reviewed by qualified personnel before any action is taken.
• TutorTracer does not guarantee the accuracy, completeness, or reliability of AI Outputs.
• Your Organisation retains full responsibility for any decisions made based on AI Outputs.

5. Data Ownership and Licence

Your Organisation retains ownership of all Lesson Data uploaded to the Service. By using the Service, you grant TutorTracer a limited, non-exclusive licence to process Lesson Data solely for the purpose of providing and improving the Service.

TutorTracer retains ownership of all AI models, algorithms, platform code, and aggregated anonymous insights derived from Service usage.

6. Integrations

The Service integrates with third-party platforms including Zoom, Google Meet, Microsoft Teams, and Lessonspace. Your use of these integrations is subject to the respective third-party terms of service. TutorTracer is not responsible for the availability or functionality of third-party services.

7. Fees and Payment

Fees for the Service are set out in your Organisation’s subscription agreement. All fees are non-refundable unless otherwise stated. TutorTracer reserves the right to modify pricing with 30 days’ written notice.

8. Limitation of Liability

To the maximum extent permitted by law:

• TutorTracer shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• TutorTracer’s total aggregate liability shall not exceed the fees paid by your Organisation in the 12 months preceding the claim.
• TutorTracer is not liable for any actions taken or not taken based on AI Outputs.

9. Indemnification

You agree to indemnify and hold TutorTracer harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your Organisation’s failure to obtain necessary consents for data processing.

10. Termination

Either party may terminate the Service agreement with 30 days’ written notice. TutorTracer may suspend or terminate access immediately if you breach these Terms. Upon termination, you may request export of your Lesson Data within 30 days, after which it will be deleted.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the platform. Continued use of the Service after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
